Always seek independent legal and financial advice before making investment decisions.
Acceptance of Terms
By creating an account on Pgrus (pgrus.com, the "Platform"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, do not create an account or use the Platform.
We may update these Terms from time to time. If we make material changes, we will notify you by email or through a prominent notice on the Platform at least 14 days before the changes take effect. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.
What Pgrus Is (and Is Not)
Pgrus is a discovery and networking platform where builders can showcase their projects and investors can find early-stage opportunities. Specifically:
Pgrus is a platform for project discovery, deal room collaboration, messaging between builders and investors, AI-powered valuation estimates, and community engagement.
Pgrus is not a registered securities exchange, broker-dealer, funding portal, or investment adviser under the Securities Act of 1933, the Securities Exchange Act of 1934, or the Investment Advisers Act of 1940.
Pgrus does not process, hold, or transfer investment funds. Any financial transactions between builders and investors occur entirely off-platform and are the sole responsibility of the parties involved.
Pgrus does not guarantee the accuracy of any project information, valuation estimate, or financial data displayed on the Platform. AI-generated valuations are estimates only and should not be relied upon as professional appraisals.
Pgrus does not endorse, recommend, or vouch for any project, builder, or investment opportunity listed on the Platform.
Eligibility
To use Pgrus, you must:
Be at least 18 years of age
Have the legal capacity to enter into binding agreements in your jurisdiction
Not be prohibited from using the Platform under any applicable law, regulation, or sanctions program
Provide accurate and truthful information during registration and at all times while using the Platform
Complete identity verification (KYC) as required to access certain Platform features
By creating an account, you represent and warrant that you meet all of the above requirements.
Account Registration & Security
When you create an account, you agree to:
Provide accurate, current, and complete information during registration
Maintain and promptly update your account information to keep it accurate
Keep your login credentials confidential and not share them with anyone
Use a strong password (we recommend 12+ characters with uppercase letters, numbers, and symbols)
Notify us immediately at security@pgrus.com if you suspect any unauthorized access to your account
Accept responsibility for all activity that occurs under your account
You may not create an account using a false identity, impersonate another person, or use a username that is misleading, offensive, or infringes on another party's rights. We reserve the right to reject or require changes to any username at our discretion.
One person may hold one account. Creating multiple accounts to circumvent rate limits, bans, or other restrictions is prohibited.
Builder Obligations
If you register as a builder and submit a project to the Platform, you agree that:
All information you provide about your project — including descriptions, financial metrics (MRR, revenue, users, growth rates), equity details, and team information — is accurate, complete, and not misleading
You have the legal authority to represent the project and, if applicable, to seek investment on its behalf
You will promptly update your project information if any material facts change
You will complete identity verification before your project is publicly listed
You will not misrepresent the stage, traction, revenue, or valuation of your project
You are solely responsible for any legal obligations arising from fundraising, including compliance with applicable securities laws in your jurisdiction
Documents uploaded to your deal room are owned by you or you have the right to share them
Consequences of misrepresentation
If we determine that you have submitted false, misleading, or fraudulent project information, we may immediately suspend or permanently terminate your account, remove your project listing, notify affected investors, and report the matter to relevant authorities where appropriate.
Investor Obligations
If you register as an investor, you acknowledge and agree that:
All startup investments carry substantial risk, including the possibility of total loss of invested capital. Most startups fail. There is no guarantee of returns.
Pgrus does not provide financial, legal, tax, or investment advice of any kind
You are solely responsible for conducting your own due diligence on any project or builder before making any investment decision
You are solely responsible for determining whether any investment is suitable for your financial situation, risk tolerance, and investment objectives
Expressing interest in a project on the Platform does not constitute a binding investment commitment or a securities transaction
Any actual investment transaction occurs off-platform and is governed entirely by the terms agreed between you and the builder — Pgrus is not a party to any such agreement
You must comply with all applicable securities laws and investment regulations in your jurisdiction, including any limits on investment amounts based on your accreditation status, income, or net worth
You will complete the applicable level of identity verification (KYC) before accessing investment-related features
Pgrus does not verify the accuracy of project listings. While we take reasonable steps to prevent fraud and require builders to agree to truthful representation, we cannot guarantee that any information provided by builders is accurate or complete.
AI Valuation Tool
The Platform includes an AI-powered valuation tool. By using this tool, you acknowledge that:
Valuations are automated estimates generated by analyzing publicly available information and should not be treated as professional appraisals, financial advice, or a guarantee of a project's worth
The tool may produce inaccurate results, particularly for businesses outside the technology sector
Valuation estimates do not reflect endorsement or recommendation by Pgrus
You should not rely solely on the AI valuation tool when making investment decisions
Usage of the valuation tool is rate-limited (1 anonymous query, 3 per month for signed-in users)
Platform Fees
Pgrus currently operates as a free platform for both builders and investors. We reserve the right to introduce fees in the future, including but not limited to:
Success fees on investment transactions facilitated through connections made on the Platform
Premium features or enhanced listing options for builders
Subscription tiers for advanced analytics or tools
If and when fees are introduced, we will provide at least 30 days' notice before they take effect. Fees will not be applied retroactively.
User Content
Ownership
You retain full ownership of all content you post on the Platform, including project descriptions, comments, posts, messages, images, and documents.
License to Pgrus
By posting content on the Platform, you grant Pgrus a non-exclusive, worldwide, royalty-free, sublicensable license to display, distribute, reproduce, and promote that content solely in connection with operating and marketing the Platform. This license ends when you delete the content or your account, except where the content has been shared with or relied upon by other users (for example, messages already delivered to recipients).
Content Restrictions
You must not post content that:
Is false, misleading, fraudulent, or deceptive
Infringes on the intellectual property rights of any third party
Contains malware, viruses, or malicious code
Is defamatory, harassing, threatening, or abusive
Promotes illegal activity
Contains personal information of others without their consent
Is spam, unsolicited advertising, or promotional material unrelated to the Platform's purpose
We reserve the right to remove any content that violates these Terms, without notice.
Prohibited Conduct
When using the Platform, you must not:
Submit false, misleading, or fraudulent project information or financial data
Impersonate any person, entity, or organization
Use the Platform to facilitate money laundering, terrorism financing, or any other illegal activity
Harass, threaten, intimidate, or abuse other users
Scrape, crawl, or use automated means to extract data from the Platform without our prior written consent
Attempt to gain unauthorized access to any part of the Platform, other users' accounts, or our systems and infrastructure
Circumvent rate limits, security measures, access controls, or other technical restrictions
Interfere with or disrupt the integrity or performance of the Platform
Use the Platform in any manner that violates applicable laws or regulations
Intellectual Property
The Pgrus name, logo (yin-yang crab claw design), brand assets, website design, and underlying platform code are the exclusive intellectual property of Pgrus and may not be used, reproduced, or distributed without our prior written permission.
All third-party trademarks, logos, and brand names appearing on the Platform belong to their respective owners.
Account Suspension & Termination
By Us
We reserve the right to suspend or permanently terminate your account, with or without notice, if:
You violate these Terms
We reasonably believe your account is involved in fraudulent activity
You submit false or misleading project information
You fail to complete required identity verification within a reasonable time
We receive a valid legal or regulatory request requiring account action
Your account has been inactive for more than 12 consecutive months
If we terminate your account for a Terms violation, you may not create a new account without our written permission.
By You
You may delete your account at any time through Settings > Delete Account. Upon deletion, your personal data will be removed within 30 days in accordance with our Privacy Policy. Certain data may be retained where required by law or to resolve disputes.
Disclaimers
The Platform is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory.
To the fullest extent permitted by law, Pgrus disclaims all warranties including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy. Specifically, Pgrus makes no representations or warranties that:
The Platform will be uninterrupted, error-free, or secure
Project information, financial data, or valuation estimates displayed on the Platform are accurate, complete, or current
Any investment opportunity listed on the Platform is legitimate, properly represented, or suitable for any particular investor
Connections made through the Platform will result in successful investment transactions
Limitation of Liability
To the fullest extent permitted by applicable law, Pgrus and its officers, directors, employees, and agents shall not be liable for:
Any investment losses or financial damages arising from connections made through the Platform
Losses resulting from reliance on project information, AI valuations, or any other data displayed on the Platform
Business decisions made based on information available through the Platform
Any indirect, incidental, special, consequential, or punitive damages
Loss of profits, revenue, data, or business opportunities
Actions or omissions of any builder, investor, or other user of the Platform
In no event shall Pgrus's total aggregate liability to you exceed the greater of (a) the amount you have paid to Pgrus in the 12 months preceding the claim, or (b) $100 USD.
Indemnification
You agree to indemnify, defend, and hold harmless Pgrus and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
Your use of the Platform
Your violation of these Terms
Any content you post on the Platform
Any investment transaction you enter into with another user
Your violation of any applicable law or regulation
Any dispute between you and another user of the Platform
Dispute Resolution
Informal Resolution
Before filing any formal legal proceeding, you agree to first contact us at legal@pgrus.com and attempt to resolve the dispute informally for at least 30 days.
Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Florida, United States, without regard to conflict of law principles.
Jurisdiction
Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Miami-Dade County, Florida. You consent to the personal jurisdiction of these courts.
Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
Entire Agreement
These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Pgrus regarding your use of the Platform and supersede any prior agreements or understandings.
